17/2016 – Launch of process to assess options to bring in a business partner for subsidiary Fabryka Pił i Narzędzi Wapienica Sp. z o.o.

The Management Board of Rawlplug S.A. (“Company”) announces that a process has been commenced to assess the possibilities of bringing in a business partner for subsidiary Fabryka Pił i Narzędzi Wapienica Sp. z o.o. The Management Board intends to substantially increase the growth dynamics of Fabryka Pił i Narzędzi Wapienica Sp. z o.o. by fully utilising its resources, particularly its product know-how. According to the Company’s Management Board, these objectives might be aided by cooperation with an industry minority shareholder. The launch of the process does not equate a decision to sell a stake in Fabryka Pił i Narzędzi Wapienica Sp. z o.o., which will be made at a later time, following a detailed analysis of received proposals. Furthermore, the sale of shares will be dependent on the adoption of relevant resolutions by the Company’s governing bodies, which must consent to such a sale in accordance with the laws and the Company’s articles of association.

16/2016 - List of shareholders with more than 5% of votes at Rawlplug S.A.'s Ordinary General Meeting of 24 June 2016

The Management Board of Rawlplug S.A. hereby discloses that the following shareholders had at least 5% of votes at Rawlplug S.A.'s Ordinary General Meeting that took place today, i.e. on 24 June 2016: Amicus Poliniae sp. z o.o.: number of votes resulting from the shares held - 16 702 750, constituting 99.99% of votes at today's general meeting and 51.30% of the overall number of votes.

15/2016 - Resolution of Rawlplug S.A.'s Ordinary General Meeting concerning dividend payment

The Management Board of Rawlplug S.A. announces that today, i.e. on 24 June 2016, the Company's Ordinary General Meeting adopted a resolution on the payment of a dividend. As per the adopted resolution, the Company's Ordinary General Meeting decided to establish the dividend amount as PLN 10 744 800, i.e. PLN 0.33 per share. The dividend will be paid out as follows:- from the Company’s net profit for financial year 2015: PLN 5 948 796.35,- from the Company’s supplementary capital: PLN 4 796 003.65. The dividend will comprise all shares, i.e. 32 560 000 shares of Rawlplug S.A. The Company's Ordinary General Meeting also decided as follows:a. to establish the ex-dividend date on 9 August 2016,b. to establish the dividend payment date on 25 August 2016.

Rawlplug’s flagship products

in the area of fixings are chemical and mechanical anchors. Our most recent market releases are the R-HPTII mechanical throughbolt featuring the highest technical parameters, and the revolutionary R-HLX Self-tapping concrete screwbolt. Our offer of chemical anchors was also expanded with the resin based, R-KEM II universal anchor for fifteen different surfaces which has a European Approval, as well as the quick and easy to use CFS foil tube bonded anchor. The advantage of the foil tube is a significant reduction in waste.

ETA-13/0585 TR23 resin bonded anchors for Ø8 - Ø32 mm diameter post-installed reinforcement bars (R-KEX-II)

ETA-13/0454 Option 7 resin bonded anchors with internally threaded sockets in diameter M6-M16 and Ø8 - Ø32 diameter reinforcement bars installed as anchors in non-cracked concrete (R-KEX-II)

ETA-13/0455 Option 1 resin bonded anchors with threaded bars of diameter M8 to M30 for fixings in non-cracked concrete and M8-M24 for fixing in cracked or non-cracked concrete (R-KEX-II)

The Łańcut factory

specializes in the production of fixings and special order products for the automotive industry. The newly implemented ISO/TS 16949:2009 Technical Specification engages the Group to manufacture, improve and coat its products according to the standard. As a result of cooperation with our German business partners, Łańcut delivers products to renowned companies, such as Volkswagen, AUDI, BMW, Porsche, Opel, Ford and VOLVO.
