21/2016 - Liquidation of subsidiary Koelner d.o.o. (Croatia)

The Management Board of Rawlplug S.A. (“Company”) announces that the Company received today a notification from its legal adviser in Croatia that a ruling of the Commercial Court in Zagreb (Croatia) regarding removal of subsidiary Koelner d.o.o. from the company register became final on 28 August 2016. The subsidiary had not been subject to consolidation because of its insignificance and had not engaged in commercial activities since January 2011. Rawlplug S.A. recognised an impairment loss in respect of the subsidiary in previous reporting periods. The liquidation of the subsidiary will therefore not have any impact presently on the Company’s separate results or the Group’s consolidated results.

20/2016 - Intention for two subsidiaries of Issuer to merge and intention for cross-border merger of Issuer with subsidiary

The Management Board of RAWLPLUG S.A. ("Issuer") announces a decision intending the following: a)        merge two subsidiaries of the Issuer, i.e. Cypriot company: FARMLORD TRADING LTD, based in Nicosia ("FARMLORD"), with Cypriot company: MEADOWFOLK HOLDINGS LTD, based in Nicosia ("MEADOWFOLK"), on the condition that:  1)        the merger will consist of FARMLORD acquiring MEADOWFOLK, 2)        taking into consideration the fact that FARMLORD remains the sole shareholder of MEADOWFOLK, the intended merger will not lead to an increase in FARMLORD's share capital, 3)        as a result of the merger, transferred to FARMLORD will be 5 000 (in words: five thousand) shares of: KOELNER ŁAŃCUCKA FABRYKA ŚRUB Sp. z o.o., based in Łańcut ("KŁFŚ"), 4)        on 12 October 2016, the general meeting of FARMLORD and the general meeting of MEADOWFOLK adopted resolutions on the merger of FARMLORD and MEADOWFOLK, b)        a cross-border merger of the Issuer with a subsidiary of the Issuer, i.e. FARMLORD, on the condition that: 1)        the merger will take place pursuant to art. 491 § 11 of the Act of 15 September 2000 - Polish Commercial Companies Code (consolidated text: Polish Journal of Laws of 2016, item 1578; "PCCC") through the acquisition of FARMLORD by the Issuer, taking into account the simplification referred to in art. 5031 in connection with art. 5166 § 3 of the PCCC, allowing an exemption from the obligation to audit the merger plan and issue an opinion by a statutory auditor, 2)        taking into consideration the fact that the Issuer remains the sole shareholder of FARMLORD, the intended merger will not lead to an increase in the Issuer's share capital, 3)        as a result of the intended merger, 5 000 (in words: five thousand) shares of KŁFŚ will be transferred to the Issuer, 4)        the merger will take place following the acquisition of MEADOWFOLK by FARMLORD, as referred to in letter a) above, 5)        the merger plan referred to in art. 5163 of the PCCC and the management board report referred to in art. 5165 of the PCC will be published in the form of a current report on the date at which they are prepared.   The mergers referred to in letters a) and b) are substantiated because the holding company functions and activities for which MEADOWFOLK and FARMLORD were formed can now successfully be performed by the Issuer. As a consequence, activities aimed at simplifying the group, of which MEADOWFOLK, FARMLORD and the Issuer are part of, are justified. The above streamlining will result in synergies by decreasing the total operating costs of the above companies, increasing the effectiveness of the business and better use of the merged companies’ resources.

Rawlplug’s flagship products

in the area of fixings are chemical and mechanical anchors. Our most recent market releases are the R-HPTII mechanical throughbolt featuring the highest technical parameters, and the revolutionary R-HLX Self-tapping concrete screwbolt. Our offer of chemical anchors was also expanded with the resin based, R-KEM II universal anchor for fifteen different surfaces which has a European Approval, as well as the quick and easy to use CFS foil tube bonded anchor. The advantage of the foil tube is a significant reduction in waste.

ETA-13/0454 Option 7 resin bonded anchors with internally threaded sockets in diameter M6-M16 and Ø8 - Ø32 diameter reinforcement bars installed as anchors in non-cracked concrete (R-KEX-II)

ETA-13/0455 Option 1 resin bonded anchors with threaded bars of diameter M8 to M30 for fixings in non-cracked concrete and M8-M24 for fixing in cracked or non-cracked concrete (R-KEX-II)

The Łańcut factory

specializes in the production of fixings and special order products for the automotive industry. The newly implemented ISO/TS 16949:2009 Technical Specification engages the Group to manufacture, improve and coat its products according to the standard. As a result of cooperation with our German business partners, Łańcut delivers products to renowned companies, such as Volkswagen, AUDI, BMW, Porsche, Opel, Ford and VOLVO.
